By accessing or using the Dealerstock platform (“Service”), you agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations. If you do not agree to these Terms, do not access or use the Service. These Terms constitute a legally binding agreement between your dealership or organization (“Dealership,” “you,” or “your”) and Dealerstock. If you are accessing the Service on behalf of a dealership or company, you represent that you have the authority to bind that entity to these Terms.
Dealerstock is a web-based Software-as-a-Service (SaaS) platform designed to help automotive dealerships digitize and manage their sales boards, inventory, and delivery operations. The Service may include features such as inventory management, sold boards, delivery tracking, leaderboards, reporting dashboards, and integrations with third-party tools (such as VIN decoders or email delivery services). Dealerstock provides the platform and tools but is not responsible for the accuracy, completeness, or legality of data entered by dealerships or their users, nor for any business, financial, or compliance outcomes that result from use of the Service.
3.1 Account Creation
Access to Dealerstock requires an authorized user account. Accounts are created through Dealerstock’s administrative onboarding process and are issued only to verified employees or authorized representatives of licensed automotive dealerships in the United States. Public or self-registration is not permitted.
3.2 Eligibility
Users must be at least 18 years old and authorized by their dealership to use the Service. By using the Service, you represent that you meet these requirements.
3.3 Account Credentials
Each user must maintain the confidentiality of their login credentials. Dealerships and users are responsible for all activities occurring under their accounts. Dealerstock is not liable for any loss or damage resulting from unauthorized access due to failure to secure login credentials.
3.4 Authorized Use
Dealership administrators may grant or revoke access for employees at any time. Dealerships are responsible for ensuring that their users comply with these Terms.
4.1 Subscription Plans
Dealerstock operates on a subscription basis. Subscription terms, pricing, and billing cycles will be described in your dealership’s service agreement or onboarding documentation.
4.2 Billing & Payment
Unless otherwise agreed in writing, subscriptions are billed in advance on a recurring basis (e.g., monthly or annually) via the payment method on file. Invoices are due upon receipt.
4.3 Late Payments
Failure to pay fees when due may result in suspension or termination of access. Dealerstock reserves the right to charge a late fee or interest in accordance with applicable law.
4.4 Refund Policy
Except where required by law, all subscription payments are non-refundable, including in cases of early termination or non-use of the Service.
4.5 Cancellation
A dealership may cancel its subscription by providing written notice before the next billing cycle. Upon cancellation, access will remain active until the end of the current paid period.
5.1 Permitted Use
You may use the Service solely for legitimate business purposes related to dealership operations, including inventory management, sales tracking, and reporting.
5.2 Prohibited Activities
You agree not to:
-Copy, modify, reverse engineer, or attempt to derive source code from the Service.
-Use the Service for any unlawful or unauthorized purpose.
-Interfere with or disrupt the functionality or security of the Service.
-Circumvent usage limits, security mechanisms, or access controls.
-Share, resell, or sublicense your access credentials.
-Scrape, harvest, or export data from the platform except as expressly permitted by Dealerstock.
Dealerstock reserves the right to suspend or terminate access if prohibited behavior is detected.
6.1 Ownership
All rights, title, and interest in and to the Dealerstock platform, including but not limited to software, user interfaces, designs, databases, logos, and trademarks, are owned by Quest Digital Technologies, Inc. and protected by intellectual property laws.
6.2 Dealership Data
Dealerships retain full ownership of all data they input or upload to the Service, including inventory information, customer data, and sales records (“Dealership Data”). By using the Service, you grant Dealerstock a limited, non-exclusive license to host, process, and display Dealership Data solely for the purpose of providing the Service.
6.3 Feedback
If you provide Dealerstock with any suggestions, feedback, or ideas regarding the platform, you grant Dealerstock an unrestricted, perpetual, irrevocable, worldwide license to use, modify, and incorporate such feedback without compensation or attribution.
7.1 Privacy Policy
Dealerstock collects, uses, and protects your personal information and Dealership Data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at www.getdealerstock.com/privacy-policy to understand how we handle your data.
7.2 Data Security
Dealerstock implements reasonable technical, administrative, and physical safeguards designed to protect your data from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the internet or electronic storage is 100% secure, and Dealerstock cannot guarantee absolute security.
7.3 Compliance
Dealerstock is committed to compliance with applicable data protection laws, including the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR) where applicable. [Note: Adjust based on your actual compliance posture and data processing activities.]
7.4 Data Retention
Dealerstock retains Dealership Data for as long as your subscription is active and for a reasonable period thereafter as necessary to comply with legal obligations, resolve disputes, and enforce these Terms. Upon termination, you may request the deletion of your Dealership Data, subject to our data retention policies and legal requirements.
8.1 Third-Party Integrations
The Dealerstock platform may integrate with or rely on third-party services, APIs, or software, including but not limited to VIN decoders, email delivery services, PDF processors, and analytics providers. Dealerstock does not control these third-party services and is not responsible for their availability, accuracy, reliability, or performance.
8.2 No Warranties for Third-Party Services
Dealerstock makes no representations or warranties regarding any third-party services and disclaims all liability for errors, downtime, data loss, or other issues arising from the use of such services. Your use of third-party services may be subject to separate terms and conditions imposed by those providers.
9.1 No Warranty
The Service is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Dealerstock does not warrant that the Service will be uninterrupted, error-free, or secure.
9.2 Limitation of Liability
To the maximum extent permitted by law, Dealerstock and its affiliates shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of the Service.
Dealerstock’s total liability for any claim related to the Service shall not exceed the amount paid by the dealership to Dealerstock in the One (1) month preceding the event giving rise to the claim.
9.3 Data Accuracy
Dealerships are solely responsible for verifying the accuracy and completeness of data entered into the system.
You agree to indemnify, defend, and hold harmless Dealerstock, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:
-Your or your dealership’s use of the Service,
-Violation of these Terms, or
Any data, actions, or content submitted through your account.
Dealerstock reserves the right to suspend or terminate access to the Service at any time, with or without notice, if:
-You or your dealership violate these Terms,
-Payments are overdue, or
-Continued use poses a risk to Dealerstock’s systems or other users.
Upon termination, all rights to use the Service immediately cease. Dealerships may request export of their data within 15 days after termination, after which Dealerstock may delete such data per its retention policy.
Dealerstock reserves the right to modify, update, or replace these Terms of Service at any time, in its sole discretion. Changes will be effective immediately upon posting to the Dealerstock website or platform. The "Effective Date" at the top of these Terms will indicate when the Terms were last updated.
13.1 Governing Law
These Terms and any dispute arising out of or related to these Terms or your use of the platform shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
13.2 Jurisdiction and Venue
You agree that any legal action or proceeding arising out of or related to these Terms or the platform shall be brought exclusively in the federal or state courts located in New York Sate. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
13.3 Waiver of Class Actions
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13.4 Informal Resolution
Before initiating any formal legal action, you agree to first contact Dealerstock at info@getdealerstock.com to attempt to resolve the dispute informally.
14.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Dealerstock regarding your use of the platform and supersede all prior agreements, understandings, and representations.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Dealerstock's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without Dealerstock's prior written consent. Dealerstock may assign or transfer these Terms without restriction. Any attempted assignment in violation of this provision is void.
14.5 Force Majeure
Dealerstock shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or interruptions in internet or telecommunications services.
14.6 Notices
All notices to Dealerstock under these Terms must be sent in writing to info@getdealerstock.com.
Dealerstock may provide notices to you via email at the address associated with your account or by posting a notice on the platform.
14.7 Relationship of Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Dealerstock. You are an independent user of the platform.
